Terms of Service

These terms cover Counter, the AI front desk made by Nanova Labs, LLC (“Nanova Labs,” “we,” “us”): the website at getcounter.app, its live demo and demo phone line, and the Counter service we run for businesses. By using any of them, you agree to these terms and to our Privacy Policy.

The demo

• The chat on getcounter.app and the demo phone line let you try Counter with made-up businesses. Appointments booked there go on our demo calendar and aren’t real, though Cal.com still emails you a confirmation.
• Please don’t share health, payment, or other sensitive details in the demo.
• Demo calls end after 5 minutes, and each phone number gets 3 demo calls a day.
• Demo conversations are saved and may be reviewed to improve Counter.

Nani is an AI assistant

Counter answers with an AI virtual assistant, called Nani unless a business picks another name, and it always says it’s a virtual assistant. It answers from the information each business provides and hands anything that needs judgment to that business’s team, but it can still make mistakes. It doesn’t give medical, legal, or financial advice, and it can’t help in an emergency: call 911.

Calls

Calls to Counter numbers may be transcribed so Nani can respond, and the text transcript is saved. We don’t record or keep call audio.

Text messages

Counter sends text messages on behalf of businesses that use it: replies to texts you send, appointment confirmations and reminders, and one follow-up text after a call that didn’t end in a booking.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to opt out, and you’ll get one message confirming it. Reply HELP for help.
• Carriers aren’t liable for delayed or undelivered messages.

For businesses that use Counter

• Plans. Prices and what each plan includes are on getcounter.app or in your order. Plans are month to month, and you can cancel anytime. Cancelling takes effect at the end of the current billing period.
• Your information. You approve the services, prices, policies, and booking rules Counter uses, and you’re responsible for keeping them accurate.
• Your customers. You’re responsible for the notices and consent your customers need under the laws that apply to you, including for call transcription and text messages, and for your own privacy policy. Counter handles your customers’ information to provide the service, as our Privacy Policy describes.
• Approvals. Texting, Instagram, and Messenger need carrier or platform approval, and stay off until they have it.

Acceptable use

Use Counter lawfully. Don’t use it to send spam, harass anyone, impersonate someone, or try to break, overload, or misuse it, including by trying to make Nani ignore its instructions. We may suspend access that breaks these rules.

Other services

Counter relies on Twilio, Anthropic, Meta, Cal.com, and Cloudflare. If one of them has an outage or changes its rules, parts of Counter may not work for a while.

No guarantees

We work hard to keep Counter accurate and available, but we provide it “as is,” without warranties of any kind, to the extent the law allows.

Limits on liability

To the extent the law allows, Nanova Labs isn’t liable for indirect or consequential losses, such as lost profits or missed appointments. Our total liability for any claim is limited to what you paid us for Counter in the three months before the claim, or $100 if you haven’t paid us anything.

Changes

We may update these terms or the service. When we do, we’ll update the date at the top, and continuing to use Counter means you accept the new terms.

Governing law

These terms are governed by California law. Disputes will be handled in the state or federal courts in San Diego County, California.
